5. Ordering, Payment, and Pricing

5.1 Order Placement

When you place an order through our Site, you are making an offer to purchase food products and services from Pizza Factory. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, product unavailability, pricing errors, suspected fraud, or delivery zone limitations.

Once your order is placed, you will receive an order confirmation via email. This confirmation does not constitute acceptance of your order; acceptance occurs when your order is prepared and dispatched for delivery or made available for pickup.

5.2 Pricing and Taxes

All prices displayed on our Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, or service charges unless expressly stated. All applicable federal, state, and local taxes will be calculated and added to your order total at checkout, in accordance with the tax laws of the applicable jurisdiction.

5.3 Payment Methods

We accept payment via major credit cards, debit cards, and other payment methods as indicated at checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for all amounts due.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. We will review your concern and, at our sole discretion, may offer a refund, credit, or replacement order.

Order cancellations must be made before the order has entered the preparation stage. Once an order is being prepared, we cannot guarantee cancellation or refund.

Delivery services are available within our designated delivery zones. Estimated delivery times are provided as approximations only and are not guaranteed. Delivery times may be affected by factors beyond our control, including weather conditions, traffic, high order volumes, and other unforeseen circumstances.

You are responsible for providing accurate and complete delivery information. Pizza Factory shall not be liable for failed or delayed deliveries resulting from incorrect or incomplete delivery addresses provided by you.

Risk of loss and title for food products pass to you upon delivery to the address you have specified. If no one is available to receive the delivery, our delivery personnel may follow our standard non-delivery protocols and your order may not be re-delivered without an additional charge.

7. Intellectual Property Rights

All content, materials, and features available on or through our Site and Services, including but not limited to text, graphics, logos, images, photographs, audio and video clips, data compilations, software, and the overall design and layout of the Site ("Content"), are the exclusive property of Pizza Factory or its licensors and are protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The Pizza Factory name, logo, trade names, trademarks, service marks, and all related names, logos, product and service names, designs, and slogans are trademarks of Pizza Factory or its affiliates. You may not use such marks without the prior written permission of Pizza Factory.

  • Loss of profits, revenue, data, or goodwill
  • Cost of substitute goods or services

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations set forth in this section shall apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some states do not allow limitations on implied warranties or exclusions of certain types of damages; accordingly, some of the above limitations may not apply to you. In such states, our liability shall be limited to the greatest extent permitted by law.

To the extent any dispute is not subject to binding arbitration as described in Section 15, you consent to the exclusive personal jurisdiction of the federal and state courts located in the United States for the resolution of such disputes. These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Pizza Factory at [email protected] to attempt to resolve the dispute informally. We will use good-faith efforts to resolve the dispute within thirty (30) days of receiving notice of your concern.

15.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Pizza Factory agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach, termination, enforcement, interpretation, or validity thereof, or the use of our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may seek emergency equitable relief in a court of competent jurisdiction.

The arbitration shall be conducted on an individual basis. The arbitrator shall have authority to grant any remedy or relief that a court of competent jurisdiction could grant. The arbitrator's award shall be in writing and shall be final and binding on both parties. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information. Claims involving amounts within the jurisdiction of small claims court may be brought in small claims court.

The allocation of arbitration fees shall be governed by the AAA's Consumer Arbitration Rules. If you are unable to afford the filing fee, we may, at our discretion, pay the filing fee on your behalf.

In the event of a Force Majeure Event, we will provide notice as soon as reasonably practicable and will resume performance as soon as the Force Majeure Event has ended. You will not be entitled to any compensation or damages as a result of any failure or delay caused by a Force Majeure Event.
